Sitecii Bootstrap Code Terms of Use

SOFTWARE LICENSE AGREEMENT

This Software License Agreement ("Agreement") is made and entered into by and between Molloy DSG ("Licensor") and the Customer ("Licensee"), effective as of the date of acceptance by Licensee.

1. Grant of License

Subject to the terms and conditions of this Agreement, Licensor hereby grants Licensee a non-transferable, exclusive, limited license to use the Sitecii Bootstrap software ("Software") solely for Licensee’s internal business purposes.

2. Restrictions

Licensee shall not:

• Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works of the Software;
• Use the Software with an invalid, expired, or unauthorized license key or certificate;
• Sell, sublicense, lease, rent, distribute, or otherwise transfer the Software to any third party;
• Remove, alter, or obscure any proprietary notices or labels on the Software.

3. Exclusivity

Licensor guarantees that Licensee holds exclusive rights to use the Software under the terms of this Agreement.

4. Ownership and Intellectual Property

Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights. Licensee acquires no ownership rights except the limited license granted herein. Client is in violation of this license if the Sitecii Boostrap code is sold or transferred as part of any type of business agreement without written and notorized agreement between Molloy DSG and Client.

5. License Validation

The Software may include license validation mechanisms to prevent unauthorized use. Licensee agrees to comply with all such mechanisms and understands that use of the Software without a valid license is prohibited.

6. Term and Termination

This Agreement is effective upon acceptance and continues until terminated. Licensor may terminate this Agreement immediately if Licensee breaches any terms herein or determines Client to be acting in bad faith. Upon termination, Licensee shall cease all use of the Software and destroy all copies.

7. Warranty Disclaimer

The Software is provided "AS IS" without warranty of any kind. Licensor disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

In no event shall Licensor be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of the Software.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of The United States of America.

10. Derivatives

Code produced by Molloy DSG for any Client may be retained indefinitely for portfolio archival, internal review, quality control, training, and legal auditing purposes.

11. Retroactive Application

This license applies to ALL previous versions of Sitecii Bootstrap software ever produced for any client and put into production wherein another form of written and notorized agreement does not supercede.

12. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior understandings.
